Directors of Canada not-for-profit corporations must be mindful of the fact that Information about federal corporations is public information. This includes a corporation’s registered office address, and the names and addresses of its directors.
Corporations Canada recently released a notice about Public Disclosure of Corporate Information. The notice can be found here.
Of particular interest is the confirmation that the address directors must provide can either be:
- a residential address or
- an address for service that is not their residential address. An address for service is an address where legal documents may be accepted by the director or someone on the director’s behalf. This could, for example, be the registered office address of the corporation or a business address of the director.Directors used to have to provide residential home addresses. If directors do not want such personal information publicized then use a different address for service. Be sure to update the address with Corporations Canada if there are any changes.
- Note that a director’s address cannot be a post office box.
